Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and JCM Development LLC ("we," "us," or "our"), governing your access to and use of the AppTank mobile application and any related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that:

  • You are at least 13 years old;
  • You have the legal capacity to enter into a binding agreement;
  • Your use of the Service does not violate any applicable law or regulation; and
  • You have not been previously suspended or removed from the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Accounts

2.1 Registration

To access most features of the Service, you must create an account using a valid email address and password, or by authenticating through Google Sign-In. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at the contact address in Section 16 if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

2.3 One Account Per User

You may not create multiple accounts for the purpose of circumventing submission limits or any other Service restrictions.

3. The AppTank Competition

3.1 How It Works

AppTank operates a seasonal competition in which users submit original app ideas for review by an expert panel. At the end of each season, the panel selects one winning idea. The winner receives equity in the application that is subsequently built based on their idea.

3.2 Season Structure

  • Each competition period is called a Season.
  • Only one Season is active at a time.
  • Submission windows open and close at the sole discretion of JCM Development LLC.
  • After a Season ends, submissions are no longer accepted for that Season; however, comments on ideas from that Season may remain open.

3.3 Winner Selection

Winner selection is conducted exclusively by the expert panel. The decision of the expert panel is final and binding. JCM Development LLC reserves the right to modify the composition of the expert panel at any time without notice.

3.4 Equity Award

Details regarding the form, amount, and terms of any equity award to a winning submitter will be communicated separately and will be subject to a separate written agreement. Nothing in these Terms creates an obligation to award equity to any User.

4. Idea Submissions

4.1 Submission Limits

  • Submissions are completely free.
  • There is a 2-day cooldown between each submission.
  • Submission limits are subject to change. Any changes will be communicated before taking effect.

4.2 Submission Requirements

All submissions must:

  • Contain an original app idea conceived by you;
  • Include a title and a clear description;
  • Optionally include a YouTube video URL and up to four (4) images;
  • Not infringe on the intellectual property rights of any third party;
  • Not violate any applicable law or these Terms.

4.3 Privacy of Submissions

Submissions are private by default. Only you and the expert panel can view your submitted ideas. Other users of the Service cannot view your submissions. We reserve the right to make past season submissions visible in an anonymized or attributed archive at our discretion.

4.4 No Guarantee of Review or Selection

Submission of an idea does not guarantee that it will be reviewed, selected, or built. JCM Development LLC makes no representation that any submitted idea will be acted upon.

5. Intellectual Property

5.1 Your Content

You retain ownership of any original content you submit to the Service, including app ideas, images, and comments ("User Content"). By submitting User Content, you grant JCM Development LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, store, display, reproduce, and distribute your User Content solely for the purposes of operating and improving the Service, conducting the competition, and, if your idea is selected as a winner, developing the resulting application.

5.2 Winning Submissions

If your idea is selected as the winning submission, you agree to execute any additional agreements reasonably required by JCM Development LLC to formalize the equity arrangement and to grant any licenses necessary for the development and commercialization of the application based on your idea.

5.3 JCM Development LLC's Intellectual Property

All rights, title, and interest in and to the Service, including software, design, trademarks, logos, and other content created by JCM Development LLC, are and will remain the exclusive property of JCM Development LLC. Nothing in these Terms grants you any right to use JCM Development LLC's trademarks, logos, or other proprietary materials without our prior written consent.

5.4 Feedback

If you provide suggestions, feedback, or ideas about the Service itself (not app idea submissions), you grant JCM Development LLC an unrestricted, perpetual, royalty-free license to use such feedback without any obligation to compensate you.

6. User Conduct

You agree not to use the Service to:

  • Submit ideas or content that you do not have the right to share;
  • Post content that is unlawful, defamatory, obscene, harassing, threatening, or otherwise objectionable;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Circumvent submission limits through any means, including creating duplicate accounts;
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
  • Attempt to gain unauthorized access to any portion of the Service, other user accounts, or our systems;
  • Use automated scripts, bots, or scrapers to interact with the Service;
  • Violate any applicable local, national, or international law or regulation.

We reserve the right to remove content and suspend or terminate accounts that violate these conduct standards.

7. Push Notifications

You may receive push notifications from the Service if you grant permission on your device. You may withdraw this permission at any time through your device settings. Withdrawing notification permission does not affect your ability to use other features of the Service.

8. Third-Party Services

The Service integrates with third-party services including Google (Firebase, Sign-In) and Expo. Your use of these services is governed by their respective terms of service and privacy policies. JCM Development LLC is not responsible for the practices of any third-party service provider.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JCM DEV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

JCM DEV DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
  • ANY DEFECTS WILL BE CORRECTED;
  • THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
  • THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JCM DEV AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF JCM DEV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL JCM DEV'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO JCM DEV IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above disclaimers and limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless JCM Development LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any applicable law or the rights of any third party.

12. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at the address in Section 16. Termination does not entitle you to any refund.

13.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we believe:

  • Violates these Terms;
  • Is harmful to other users, third parties, or the Service;
  • Creates legal liability for JCM Development LLC; or
  • Is otherwise inappropriate.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination — including but not limited to Sections 5, 9, 10, 11, 13, and 14 — will survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, you and JCM Development LLC agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Atlanta, Georgia. The arbitrator's decision shall be final and binding.

You waive any right to participate in a class action lawsuit or class-wide arbitration against JCM Development LLC.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Modifications to the Service and Terms

15.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

15.2 Terms Changes

We may revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this document and, where appropriate, notify you through the Service or via email. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.

15. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and JCM Development LLC regarding your use of the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
  • No Third-Party Beneficiaries: These Terms do not confer any rights on any third party.
